By creating an account, accessing the Service, generating documents, using the API, creating API keys, or otherwise using Doctagd, you agree to these Terms.
If you are using Doctagd on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
1. The Service
Doctagd is a document automation platform that helps users generate Word documents from spreadsheet data.
The Service currently includes features such as:
- spreadsheet uploads
- Word template uploads
- placeholder mapping
- document generation
- generated document downloads
- saved configurations
- document previews
- API access
- API keys
- usage quotas
- billing and subscriptions
- workflow automation support
We may modify, improve, suspend, or remove features at any time.
Some features may be marked beta, preview, or experimental and may change without notice.
2. Accounts and Security
You are responsible for:
- maintaining accurate account information
- keeping credentials secure
- securing API keys
- all activity under your account
API keys must be treated as confidential credentials.
You must not expose API keys publicly or embed them in insecure client-side environments.
You must notify us promptly if you believe your account or credentials have been compromised.
We may suspend or revoke credentials where reasonably necessary to protect the Service, users, or third parties.
3. Customer Content and Ownership
"Customer Content" includes uploaded spreadsheets, templates, generated documents, mappings, saved configurations, API inputs, metadata, and related materials processed through the Service.
You retain ownership of your Customer Content.
Doctagd does not claim ownership of:
- uploaded files
- templates
- generated documents
- saved configurations
- workflow data
You grant us a limited licence to host, store, process, transform, preview, generate, transmit, and otherwise use Customer Content solely as necessary to:
- provide the Service
- secure and maintain the Service
- prevent abuse
- comply with law
- enforce these Terms
You represent that you have all necessary rights and permissions to upload and process Customer Content through the Service.
4. File Storage and Retention
Uploaded files may be stored temporarily in private cloud storage.
Session uploads and temporary processing files may be automatically deleted after expiration periods determined by our operational policies.
Saved configurations may persist until deleted by you or removed by us in accordance with these Terms.
Generated documents, previews, logs, and job records may be retained temporarily for operational, support, security, billing, or reliability purposes.
You are responsible for maintaining your own backups of generated documents and Customer Content.
Doctagd is not intended to function as a permanent archival or records-management system unless explicitly stated otherwise.
5. Document Generation and User Responsibility
Doctagd automates document generation using uploaded data, mappings, templates, formatting rules, and saved configurations provided by users.
You are responsible for:
- verifying uploaded data
- reviewing mappings
- validating generated outputs
- confirming formatting
- reviewing previews
- ensuring generated documents are suitable for your intended purpose
Generated outputs may contain:
- formatting inconsistencies
- mapping errors
- spreadsheet-related errors
- unsupported template behaviours
- preview differences
- filename conflicts
- incomplete or inaccurate content
Browser previews are intended as approximate visual representations and may not exactly match Microsoft Word rendering.
Doctagd does not provide legal, accounting, compliance, tax, HR, medical, or professional advice.
You are solely responsible for reviewing and approving generated documents before relying on, distributing, signing, or sending them.
6. Usage Limits and Fair Use
The Service may enforce limits including:
- document quotas
- configuration limits
- API rate limits
- file size limits
- row limits
- storage limits
- generation limits
- payload limits
Current plan limits and pricing may be displayed within the product or pricing materials.
You must not attempt to bypass usage limits, authentication systems, billing controls, or technical restrictions.
We may throttle, suspend, reject, or restrict usage where limits are exceeded or abuse is suspected.
7. Billing and Subscriptions
Paid plans are billed through third-party payment providers.
By purchasing a subscription, you authorise us and our payment processor to charge applicable fees and taxes.
Subscription fees are billed in advance unless otherwise stated.
Unless required by law, fees are non-refundable.
We may update pricing, plans, quotas, or included features prospectively with reasonable notice.
Failure to pay fees may result in suspension or downgrade of the Service.
8. API Access and Automation
The Doctagd API is subject to authentication, rate limits, quotas, and operational safeguards.
You are responsible for all integrations, workflows, automations, scripts, and third-party tools connected to your account or API keys.
API contracts, endpoints, limits, and behaviours may evolve over time, especially for beta functionality.
We may revoke or restrict API access where necessary to protect the Service or users.
9. Acceptable Use
You must not use Doctagd to:
- violate law or regulations
- infringe intellectual property rights
- upload malware or harmful code
- generate fraudulent or deceptive documents
- interfere with the Service
- abuse APIs or infrastructure
- bypass security controls
- spam or phish
- process content you lack rights to use
- overload or scrape the Service
- reverse engineer the Service beyond rights granted by law
We may investigate suspected violations and take appropriate enforcement action. See the Acceptable Use Policy for detail.
10. Sensitive and Regulated Data
Unless explicitly agreed in writing, Doctagd is not intended for highly regulated data including:
- protected health information
- classified information
- payment card data
- biometric data
- highly sensitive government data
You are responsible for determining whether the Service is appropriate for your intended use case and regulatory obligations.
11. Privacy and Data Protection
Our Privacy Policy explains how personal data is processed through the Service.
Where applicable, customers may request a Data Processing Addendum.
You are responsible for ensuring that you have appropriate rights, notices, lawful bases, and permissions for any personal data uploaded through the Service.
12. Confidentiality
Each party may receive confidential information from the other.
Confidential information includes non-public technical, operational, commercial, workflow, customer, and business information.
Each party agrees to use reasonable care to protect confidential information and use it only as necessary to provide or use the Service.
These obligations do not apply to information that:
- becomes public without breach
- was already lawfully known
- is independently developed
- is lawfully received from another source
13. Intellectual Property
Doctagd and its software, interfaces, branding, APIs, workflows, and documentation are owned by Project Paced Ltd or its licensors.
Except for the limited right to use the Service under these Terms, no ownership rights are granted to users.
Feedback and suggestions may be used by us without restriction or compensation.
14. Third-Party Services
The Service depends on third-party providers for infrastructure, storage, billing, authentication, email delivery, and related functionality.
Third-party services may be subject to their own terms and policies.
We are not responsible for third-party services outside our control.
15. Availability and Changes
We aim to provide a reliable Service but do not guarantee uninterrupted or error-free operation.
The Service may experience downtime, maintenance, provider outages, or security-related interruptions.
We may modify the Service as necessary to improve functionality, security, compliance, or operational stability.
16. Suspension and Termination
You may stop using the Service at any time.
We may suspend or terminate access where:
- these Terms are violated
- fees remain unpaid
- security risks arise
- abuse is detected
- continued access creates legal or operational risk
After termination, Customer Content may be deleted subject to operational, legal, backup, billing, or security retention requirements.
17. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE".
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY, AND NON-INFRINGEMENT.
We do not guarantee that generated documents will be accurate, complete, legally effective, or suitable for your use case.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- WE ARE NOT LIABLE FOR LOSS OF DATA, PROFITS, BUSINESS, GOODWILL, OR REVENUE
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:
- £100
- THE AMOUNT PAID BY YOU TO DOCTAGD IN THE THREE MONTHS BEFORE THE CLAIM
Nothing in these Terms excludes liability that cannot lawfully be excluded.
19. Indemnity
You agree to indemnify and hold harmless Project Paced Ltd and its personnel from claims arising from:
- your Customer Content
- your use of the Service
- your integrations
- your API usage
- your violation of law
- your breach of these Terms
20. Changes to These Terms
We may update these Terms periodically.
Material changes may be communicated through the website, application, or email.
Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
21. Governing Law
These Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction over disputes relating to these Terms or the Service.
